BOISE RAIL USA -TERMS AND CONDITIONS
1. Provisional deposit and Payment
Boise Rail USA reserves the right to ask for provisional deposit. If a provisional deposit applies, Boise Rail USA will not proceed with the order until the deposit has been received in our bank account. Therefore, the promised lead time will apply at the same moment.
2. Warranty and Guarantee
Boise Rail USA warrants that all new and rebuilt parts sold to any customer are to be free from defects in part and labour in the course of normal use. This warranty shall continue for a period of 12 months from the shipment date. In order to benefit from the warranty, the serial number of the defective part must be provided. A full copy of the guarantee is available on request.
3. Modification and/or cancellation of orders.
a) All modification or cancellation of orders must be approved in writing by Boise Rail USA
b) Boise Rail USA reserves the right to keep the provisional deposit or charge a 20% restocking fee if the cancellation and/or modification is not justified
4. Validity
The quote remains valid for 30 days from date of issue unless otherwise stated.
5. Return (RMA)
a) All merchandise and/or claims must have a Boise Rail USA RMA number prior any returns.
b) All return of merchandise is subject to a 20% restocking fee, at our discretion.
6. Limitation of Liability
The liability of Boise Rail USA and its suppliers arising out of or relating to this agreement or the supply of the goods hereunder, shall be limited to the actual amounts paid by the customer to Boise Rail USA for the goods giving rise to such damages, and shall in no event include loss of profits, cost of procuring substitute goods or services, or any incidental, indirect or consequential damages or any kind.
7. Payment Terms
7.1 International/cross border
Payment shall be 50% deposit with purchase order and the balance payable prior to shipping. All merchandise remains the property of Boise Rail USA until full payment is received.
7.2. Local /Domestic
Normal payment terms are net 30 days from invoice date subject to credit approval and confirmation. All past due accounts may result in a shipping hold on all future orders. Delinquent accounts will be subject to a service charge of two percent (2%) per month. Boise Rail USA reserves the right to put an end or to modify the credit privileges granted to the applicant if this one does not conform to the terms and conditions. All merchandise remains the property of Boise Rail USA until full payment is received.
8. Currency Fluctuations
Prices are based on the ZAR/USD exchange rate at time of quotation and Boise Rail USA reserves the right to adjust the final price at time of order in line with the spot rate on that day.
9. Ownership
All merchandise remains the property of Boise Rail USA until full payment is received. Ownership and risk shall pass to the customer in term of the Incoterms agreed
10. Lead Times
Lead times are only an indication and can vary depending on availability, prior sale and other unforeseen or unexpected delays or circumstances. Every effort will be made to adhere to the lead time guidelines but Boise Rail USA cannot be held liable for delays that are out of its control.
11. Taxes
All sales taxes will be billed (if applicable) at the present rate from shipping date. All taxes rate changes between the quotation and/or the order, and the shipping date will be applicable and billed.BOISE RAIL USA -TERMS AND CONDITIONS
